Board of Directors

The Board of Directors is responsible for the organization's overall financial well-being, its integrity and accountability to the mission. Ours is a special group of people who give of their time and financial resources to govern the organization and further The Box Project goals. The Board meets in person and telephonically four times each year, twice by telephone conference call and twice in various parts of the country with at least one face-to-face meeting in a recipient area.  Board members are expected to become members of the organization and also make annual contributions according to their ability at a level that is meaningful to them

The Nominating Committee recruits new Board members who have the time and talent the organization needs to accomplish its mission. The Board is responsible for governing, setting policy, setting goals, attending meetings, overseeing employment issues and policies, and for ensuring the financial health of the organization. The requirements of good board governance necessitate the following:

  1. a duty of care, which means they tend to the activities of the organization and see to it that the mission is being accomplished and financial resources are being monitored appropriately
  2. a duty of loyalty which means they avoid conflicts of interest and are always loyal to the organization, and
  3. a duty of obedience, which means they carry out the purposes of the organization and comply with the law at all times
